1. PARTIES AND SCOPE

This Agreement is entered into between the undersigned participant(s) ("Participant") and Wagner, Coroama & Neubert LLC, doing business as Spring Lake Ranch, its owners, officers, employees, agents, volunteers, contractors, and assigns (collectively "Spring Lake Ranch"), located at 11820 Sayersbrook Rd, Potosi, Missouri 63664. This Agreement applies to all activities, accommodations, amenities, and use of the property during any and all visits, whether paid or complimentary.

2. DESCRIPTION OF ACTIVITIES AND PROPERTY

Spring Lake Ranch is a 684-acre working ranch and hospitality property featuring a 60-acre private lake, hiking trails, wooded terrain, open pastures, creek crossings, and multiple rental accommodations. Activities available on the property include but are not limited to:

• Water activities: kayaking, canoeing, paddleboarding, swimming, fishing, and shoreline recreation on Sayersbrook Lake
• Land activities: hiking, trail walking, nature exploration, wildlife observation, campfire use, outdoor cooking, and photography
• Equine activities: horseback riding and trail rides (subject to separate equine waiver per RSMo 537.325)
• Ranch activities: interaction with and observation of ranch animals including horses, cattle, goats, and livestock guardian dogs
• General recreation: use of rental accommodations, common areas, docks, and all property amenities

3. ASSUMPTION OF RISK

I fully understand, acknowledge, and voluntarily assume all risks associated with use of the Spring Lake Ranch property and participation in any activities thereon, including but not limited to the following inherent and known risks:

A. Lake and Water Risks

• NO LIFEGUARD IS ON DUTY AT ANY TIME. All swimming, wading, and watercraft use is entirely at my own risk.
• Drowning, near-drowning, cold water shock, and watercraft capsizing
• Submerged objects, variable water depth, underwater hazards, and uneven lake bottom
• Kayak, canoe, and paddleboard instability, tipping, and equipment failure
• Entanglement in aquatic vegetation or fishing line
• Currents, wind, and sudden weather changes while on the water
• Slippery docks, boat ramps, and shoreline surfaces

B. Terrain and Trail Risks

• Uneven, steep, slippery, or unmarked terrain throughout the 684-acre property
• Falls, sprains, fractures, and injuries from trail surfaces, rocks, tree roots, and creek crossings
• Becoming lost or disoriented on wooded trails or remote areas of the property
• Exposure to weather extremes including heat, cold, lightning, and flooding
• Falling trees, branches, and limbs

C. Wildlife and Natural Hazards

• Encounters with native Missouri wildlife including venomous snakes (cottonmouth, copperhead, timber rattlesnake), spiders (brown recluse, black widow), ticks, chiggers, wasps, and biting insects
• Tick-borne illness including Lyme disease, Rocky Mountain spotted fever, and ehrlichiosis
• Wild animals including deer, coyotes, raccoons, opossums, and other native species that may behave unpredictably
• Allergens including pollen, mold, grasses, and plant irritants such as poison ivy and poison oak
• Contact with natural water sources which may contain bacteria or parasites

D. Ranch Animal Risks

• Spring Lake Ranch maintains horses, cattle, goats, and livestock guardian dogs on the property. These are working ranch animals, not domesticated pets, and may behave in ways that are unpredictable, startled, or defensive.
• I understand that I must not feed, approach, or attempt to handle any ranch animal unless explicitly invited to do so by ranch staff.
• I understand that livestock guardian dogs are working dogs that protect the herd. While they are generally friendly and non-aggressive toward humans, I will not approach, corner, tease, or attempt to feed them without staff present.
• Risks include biting, kicking, charging, knocking down, or trampling by any ranch animal.
• I will not enter any barn, pen, pasture, or fenced animal enclosure without explicit staff authorization.

E. Off-Trail and Property Boundary Risks

• I acknowledge that venturing off designated trails or into unfamiliar areas of the property significantly increases risk of injury, becoming lost, or trespassing onto neighboring properties.
• I will remain on marked trails and designated areas unless accompanied by or expressly authorized by ranch staff.
• Spring Lake Ranch is not responsible for injuries sustained by participants who venture beyond designated areas.

I acknowledge that the risks described above, and others not specifically mentioned, may result in bodily injury, illness, disease, property damage, permanent disability, paralysis, or death to myself or any minor for whom I am signing. Such risks may arise from the actions or omissions of Spring Lake Ranch, its staff, other guests, or from natural causes beyond anyone's control.

4. RELEASE, WAIVER, AND INDEMNIFICATION

In consideration of being permitted to enter and use the Spring Lake Ranch property, I, for myself and on behalf of my heirs, executors, administrators, personal representatives, and assigns, hereby:

• RELEASE AND FOREVER DISCHARGE Wagner, Coroama & Neubert LLC d/b/a Spring Lake Ranch, its owners, officers, managers, employees, agents, contractors, and insurers from any and all claims, demands, losses, damages, causes of action, or liability of any kind arising from or related to my visit or participation in any activities on the property;
• WAIVE any and all such claims, including those arising from the negligence, gross negligence, or other acts or omissions of Spring Lake Ranch or its agents;
• AGREE TO INDEMNIFY AND HOLD HARMLESS Spring Lake Ranch from any claims, costs, attorney's fees, or liabilities arising from my actions, my guests' actions, or any minor for whom I am responsible while on the property.

5. EQUINE ACTIVITY STATUTORY NOTICE (RSMo 537.325)

Under Missouri law, an equine activity sponsor or equine professional is not liable for an injury to or the death of a participant in equine activities resulting from the inherent risks of equine activities. I acknowledge the inherent risks of equine activities including the unpredictable nature of horses and understand that a separate equine activity waiver must be signed prior to any horseback riding or equine-related participation.

6. WATERCRAFT RENTAL ACKNOWLEDGMENT

If I rent or use any watercraft (kayak, canoe, paddleboard) provided by Spring Lake Ranch:

• I confirm that I am a capable swimmer or will wear a properly fitted personal flotation device (PFD/life jacket) at all times while on the water.
• Children under 13 must wear a PFD at all times on or near the water — no exceptions.
• I will not operate watercraft under the influence of alcohol or any impairing substance.
• I accept full financial responsibility for any damage to rental equipment caused by my negligence or misuse.
• I acknowledge that Spring Lake Ranch recommends but does not require PFD use for adults over 13, and that I assume all risk of watercraft use accordingly.

7. PARTICIPANT RESPONSIBILITIES AND PROPERTY RULES

I agree to comply with all posted rules, staff instructions, and the following conditions at all times:

• No ATVs, off-road vehicles, motorcycles, or motorized recreational vehicles are permitted on the property at any time.
• All vehicles must remain on designated main roads. Driving on trails, pastures, or off-road areas is strictly prohibited.
• I will not feed, approach, or handle any ranch animal (horses, cattle, goats, dogs) without explicit staff permission.
• I will not enter any fenced enclosure, barn, stable, or animal pen without staff authorization.
• I will remain on marked trails and designated areas unless expressly authorized to do otherwise.
• I will not consume alcohol or use substances that impair judgment prior to or during water activities, equine activities, or any other physical activity on the property.
• Fires are permitted only in designated fire rings and fire pits. I will fully extinguish all fires before leaving the area.
• I will supervise all minors in my party at all times, particularly near the lake and water areas.
• I will report any injury, incident, or hazardous condition to ranch staff immediately.
• I am responsible for properly disposing of all waste and leaving the property in the condition in which I found it.

8. MEDICAL CONDITION CERTIFICATION

I certify that I am physically and mentally capable of participating in the activities I intend to engage in. I am not aware of any medical condition, physical limitation, or disability that would increase the risk of injury to myself or others. I understand that Spring Lake Ranch staff are not medical professionals and that I am responsible for my own medical needs. I authorize Spring Lake Ranch staff to call emergency services on my behalf in the event of an emergency, and I accept full financial responsibility for any emergency medical treatment rendered.

9. MINOR PARTICIPATION

As the parent or legal guardian of any participant under 18 years of age listed on this waiver:

• I consent to their full participation in all ranch activities.
• I execute this waiver and release on their behalf and on behalf of their heirs and assigns.
• I accept full responsibility for their conduct, safety, and supervision while on the property.
• I authorize emergency medical treatment and accept all financial responsibility for any resulting costs.
• I specifically acknowledge that unsupervised minors near the lake or water areas present serious risk, and I accept full responsibility for their supervision at all times.

10. PHOTO AND MEDIA RELEASE

I grant Wagner, Coroama & Neubert LLC d/b/a Spring Lake Ranch permission to use photographs, video, or other media in which I or members of my party may appear, taken during our visit, for marketing, social media, website, or promotional purposes, without compensation. I may opt out of this release by notifying ranch staff in writing at check-in.

11. GOVERNING LAW, VENUE, AND SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri. Any dispute arising under this Agreement shall be brought exclusively in Washington County, Missouri. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written representations.

FINAL ACKNOWLEDGMENT

I HAVE READ THIS ENTIRE AGREEMENT. I UNDERSTAND THAT IT IS A RELEASE OF LIABILITY AND A LEGALLY BINDING CONTRACT. I AM SIGNING IT FREELY AND VOLUNTARILY. I ACKNOWLEDGE THAT NO ORAL REPRESENTATIONS OR INDUCEMENTS HAVE BEEN MADE APART FROM THE TERMS SET FORTH HEREIN. I UNDERSTAND THAT BY SIGNING I AM GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE SPRING LAKE RANCH FOR NEGLIGENCE.

I AM SIGNING THIS AGREEMENT ON BEHALF OF MYSELF AND ON BEHALF OF ANY MINOR PARTICIPANT LISTED BELOW, AND FOR ALL OF OUR RESPECTIVE HEIRS, EXECUTORS, AND ASSIGNS.
